These terms govern your access to and use of the TecHalo websites and the Halo Flow platform. Please read them carefully.

These Terms of Service ("Terms") are a binding agreement between you (and, if you use the services on behalf of an organization, that organization) and TecHalo, operated by [Legal Entity Name] ("TecHalo," "we," "us"). By accessing our websites, creating an account, or using Halo Flow (collectively, the "Services"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services. If you accept on behalf of an organization, you represent that you are authorized to bind it.
You must provide accurate registration information and keep it current. You are responsible for safeguarding account credentials and for all activity under your account. Notify us promptly of any unauthorized use. The Services are intended for business use by individuals aged 18 or older; they are not directed to children.
We may offer a free trial (for example, a 14-day trial). At the end of the trial, your subscription will not begin unless you elect to subscribe, and trial data may be deleted if you do not subscribe within a reasonable period.
Paid plans are billed per seat or as a flat platform fee, on a monthly or annual basis as stated at purchase. Unless otherwise stated, fees are billed in advance and are non-refundable except as required by law. Volume discounts, where offered, apply as described on the pricing page.
Subscriptions automatically renew for the same term unless cancelled before the renewal date. We may change fees or plan features prospectively; we will provide notice of material changes, and changes take effect on your next renewal. You are responsible for applicable taxes.
You agree not to: (a) use the Services to violate any law or third-party rights, including telemarketing, calling, recording, and consumer-protection laws applicable to your operations; (b) send unlawful, deceptive, or infringing content; (c) attempt to gain unauthorized access to, disrupt, or reverse engineer the Services; (d) resell or provide the Services to third parties except as expressly permitted; or (e) use the Services to process data you are not authorized to process. You are solely responsible for your and your Authorized Users' compliance with laws applicable to your use, including obtaining any required consents for calls, recordings, and payments.
As between the parties, the Customer owns all Customer Data. You grant TecHalo a limited, worldwide license to host, process, and transmit Customer Data solely to provide and support the Services, and as otherwise instructed by you. For personal information within Customer Data, the Customer is the controller and TecHalo is the processor, as described in our Privacy Policy and any data processing terms. You are responsible for the accuracy and legality of Customer Data and for having the rights necessary to submit it.
Halo Flow enables payment capture through third-party gateways (which may include Stripe, Authorize.net, NMI, Square, and PayPal). Your use of those gateways is subject to their terms, and you are responsible for maintaining any merchant accounts and complying with card-network and PCI requirements applicable to you. TecHalo provides PCI-compliant capture mechanisms but is not the merchant of record for your transactions and is not responsible for the acts or omissions of payment processors.
TecHalo and its licensors own all rights in the Services, including software, workflows we provide, designs, and trademarks. These Terms grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription. You retain rights in workflows and configurations you create from Customer Data, subject to our underlying platform rights. Feedback you provide may be used by us without obligation to you.
Each party may access the other's confidential information. The receiving party will protect it with reasonable care, use it only to perform under these Terms, and not disclose it except to personnel and contractors bound by confidentiality, or as required by law.
The services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. TecHalo does not warrant that the services will be uninterrupted, error-free, or secure, or that they will meet your requirements.
To the maximum extent permitted by law, TecHalo will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. TecHalo's total liability arising out of or related to the services will not exceed the amounts you paid to TecHalo for the services in the twelve months before the event giving rise to the claim.
You will defend, indemnify, and hold harmless TecHalo from third-party claims arising out of your Customer Data, your use of the Services in violation of these Terms or law, or your operations (including calls, recordings, and payments you process). TecHalo will provide prompt notice of any such claim and reasonable cooperation.
These Terms apply while you use the Services. Either party may terminate a subscription as stated in the applicable Order or if the other party materially breaches and fails to cure within 30 days of notice. On termination, your right to use the Services ends. We will make Customer Data available for export for a limited period, after which we may delete it as described in our Privacy Policy. Sections that by their nature should survive (including §§6, 8–12) will survive termination.
These Terms are governed by the laws of the State of [State], United States, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in [County/City, State], and waive any objection to venue there, except that either party may seek injunctive relief in any court of competent jurisdiction.
We may update these Terms from time to time. We will revise the "Last updated" date and, for material changes, provide additional notice where appropriate. Your continued use of the Services after an update constitutes acceptance of the revised Terms.
